1. Scope
These Terms of Service govern the use of all websites, software solutions, mobile applications, platforms, programming interfaces (APIs), and other digital services provided by Valend (hereinafter collectively "Services"). These include in particular re:one as well as all current and future products and services of Valend, unless supplementary or deviating terms of service apply to individual services. For individual products, paid offers, or special functions, supplementary conditions may apply. The user will be expressly informed of these before conclusion of the respective contract. These Terms of Service only become part of the usage agreement if the user had the opportunity to review them before conclusion of the contract and has consented to their application. Where registration is provided, the user must expressly confirm the application of these Terms of Service as part of the registration process. The mere visit of publicly accessible areas of the website does not establish a usage agreement. If you do not agree to these Terms of Service, you may not use registration-required services.

Essential functions may only be changed or discontinued if there is a substantive reason for this. Such a reason may exist in particular in the case of: • statutory or regulatory requirements, • security risks, • technical developments, • changes by integrated third-party providers, • operation of a function that is no longer economically reasonable, • or the necessary further development of the service. The change must be reasonable for the user taking their interests into account. Insofar as a change more than insignificantly affects the accessibility or usability of a digital product for consumers, Valend will inform the affected users within a reasonable period before the change on a durable medium about: • the characteristics of the change, • the time of the change, • and the statutory rights of the user. Statutory rights of users, in particular under §§ 327 et seq. BGB, remain unaffected.
5. Registration and User Account
For certain functions, creating a user account is required. When registering, you undertake to • provide complete and correct information, • keep your access credentials confidential, • keep your password secure, • not share your account with third parties, • report unauthorized access immediately. You are responsible for all activities carried out via your user account insofar as you are responsible for them.

Our Services may allow login via external authentication services, in particular: • Google • Microsoft • other supported identity providers For this authentication, the terms of service and privacy policies of the respective provider apply additionally.

8. Usage Rights and Intellectual Property
Valend grants you, for the duration of the usage agreement, a simple, non-exclusive, and non-transferable right to use the Services solely in accordance with these Terms of Service. The right of use ends with the effective termination of the agreement or a lawful suspension of the account. All rights to the software, algorithms, AI systems, source code, databases, trademarks, logos, designs, texts, graphics, and other content remain with Valend or the respective rights holders. These rights are not transferred to you by using our Services. Legally permissible actions, in particular mandatory reverse engineering permitted under applicable statutory provisions, remain unaffected.
10. Compliance with These Terms of Service
In the event of violations of these Terms of Service or applicable law, Valend is entitled to take appropriate measures. These include in particular: • warnings, • restrictions of individual functions, • temporary suspension of the user account, • permanent blocking or termination of the user account, • assertion of further legal claims. Valend will duly consider the legitimate interests of the affected users.
11. User Content
You retain all rights to the content that you create, upload, store, or process via our Services. This includes in particular: • Documents • Notes • Files • Images • Contacts • Calendar data • Tasks • Messages • other content You grant Valend, for the duration of the usage agreement, a simple, non-exclusive right limited to the respective contractual purpose to store the provided content, to technically reproduce, transmit, process, and synchronize it, and to display it within your user account, insofar as this is necessary to provide the functions you requested. This right also includes the technically necessary processing by the processors and infrastructure service providers engaged by Valend. A use for advertising, the sale of user data, or other purposes outside the contract is not permitted by this. You warrant that you hold all required rights to the content you provide and that their use does not infringe the rights of third parties.
12. Artificial Intelligence (AI)
Our Services may provide artificial intelligence (AI) features. These functions serve in particular to support the analysis, organization, summarization, search, structuring, and creation of information. AI-generated results may be incorrect, incomplete, or unsuitable and do not constitute professional, legal, tax, medical, or other professional advice. You are obligated to independently verify all results before using them or making decisions based on them. Unless expressly stated otherwise, Valend does not use users' personal data to train its own AI models. External AI and infrastructure providers process data exclusively in accordance with the privacy policy and the contractual agreements applicable to them. The statutory rights of the user in the case of defective digital products remain unaffected.
13. Third-Party Integrations
Our Services can be connected to third-party applications and services. These may include in particular: • Google Workspace • Microsoft 365 • Calendar services • Cloud storage services • Communication platforms • CRM systems • other integrations supported by Valend Which data is processed depends on the integrations you have activated and the permissions you have granted. For third-party services, their respective terms of service and privacy policies apply additionally. Valend does not have full influence on the permanent availability, functioning, or changes of third-party services. Statutory rights of the user against Valend remain unaffected.
14. APIs and Interfaces
Valend may provide programming interfaces (APIs) or integrate third-party APIs. The use of these APIs may only be carried out in accordance with the respective technical documentation. In particular, the following is prohibited: • abusive or excessive use, • circumvention of technical restrictions, • manipulation of the API, • unauthorized access to data or systems. Valend may restrict or block API access at any time for security reasons or in the case of abusive use.
15. Beta and Test Features
Valend may provide functions expressly designated as beta, preview, test, or experimental features. These features are still in development and may therefore contain errors, be only partially available, or be changed or discontinued subject to the statutory and contractual requirements. Insofar as a beta or test feature is free, optional, and not part of the agreed main service, there is no claim to permanent provision or specific support and response times. Statutory rights of users, in particular the rights of consumers regarding digital products and changes to digital products, remain unaffected.
16. Availability of Services
Valend endeavors to provide the Services with the highest possible availability. Temporary restrictions may arise in particular from • maintenance work, • security measures, • software updates, • technical disruptions, • attacks on the IT infrastructure, • force majeure There is no claim to uninterrupted or error-free use at all times.
17. Data Backup
Valend takes appropriate technical and organizational measures to protect stored data. Unless expressly agreed otherwise, however, users are themselves responsible for regularly backing up important content. Valend recommends making your own backup copies, particularly for business-critical data.
18. Fees and Payment Terms
Insofar as a service is expressly offered free of charge, no fees are incurred for the user. A payment obligation arises exclusively if the user was clearly informed before conclusion of the contract about the price, the scope of services, the contract term, and the payment terms and expressly consented to the paid offer. A payment obligation cannot be established solely by a change to these Terms of Service. For consumers, prices are stated including statutory value-added tax. For entrepreneurs, a price statement excluding statutory value-added tax may be made if this is expressly indicated. For recurring subscriptions, the billing period, contract term, renewal, and cancellation options result from the respective offer. Statutory information and cancellation rights remain unaffected.
19. Term and Termination
Unless otherwise agreed, the usage agreement is concluded for an indefinite period. You may terminate a free user account at any time via the designated functions or by notifying contact@valend.de. For paid offers, the contract terms and notice periods stated in the respective offer apply. The statutory requirements for the electronic termination of consumer contracts remain unaffected. Valend may terminate the agreement with ordinary notice in compliance with statutory provisions. The right of both parties to extraordinary termination for good cause remains unaffected. Good cause exists in particular if • these Terms of Service are materially or repeatedly violated, • our Services are used abusively, • legal provisions are violated, • significant security risks arise. Upon termination of the agreement, your user account will be deactivated. Personal data will be deleted or anonymized in accordance with statutory retention obligations. Account deletion and the cancellation of a paid subscription can be handled separately on a technical level, insofar as this is necessary. Insofar as corresponding export functions are offered, users can export their content before termination of the contract. Mandatory statutory claims to the provision of content, in particular the rights of consumers under § 327p BGB, remain unaffected.
20. Statutory Rights for Digital Products
For consumers, the statutory provisions on digital products apply, in particular §§ 327 et seq. BGB. Valend provides digital products in accordance with the contractually agreed requirements and the statutory provisions. In the event of non-provision or a defect, consumers are entitled to the statutory rights. These may in particular include bringing about the contractually compliant condition, a price reduction, termination of the contract, or damages, insofar as the respective statutory requirements are met. These rights are not restricted by the provisions on availability, beta features, or AI-generated results.
21. Liability
Valend is liable in accordance with statutory provisions without limitation for intent and gross negligence. In the case of slight negligence in the breach of essential contractual obligations (cardinal obligations), liability is limited to foreseeable, typically occurring damages. Liability for slight negligent breaches of non-essential contractual obligations is excluded insofar as legally permissible. The above liability limitations do not apply • to damages arising from injury to life, body, or health, • to claims under the Product Liability Act, • in the case of fraudulent concealment of a defect, • insofar as mandatory statutory liability provisions conflict. Statutory defect rights and mandatory statutory liability provisions remain unaffected.
22. No Warranty for AI-Generated Content
Insofar as our Services provide AI-supported functions, the generated results serve exclusively to support the user. Valend assumes no warranty for the accuracy, completeness, timeliness, or suitability of AI-generated content for a particular purpose. The user remains solely responsible for verifying and using the results. Statutory defect rights and mandatory statutory liability provisions remain unaffected.
23. Indemnification
If a user culpably infringes the rights of third parties or applicable law and claims are therefore asserted against Valend, the user shall indemnify Valend against justified claims by third parties, insofar as the user is responsible for the infringement. The indemnification includes reasonable and necessary costs of legal defense. Valend will inform the user without delay about asserted claims and, insofar as legally and factually possible, give the user the opportunity to comment and participate in the legal defense. Valend will not conclude any agreement without the user's consent that would impose obligations on the user beyond the existing statutory responsibility. Mandatory statutory rights of consumers remain unaffected.
24. Force Majeure
Valend is not responsible for delays or service failures insofar as these are caused by events that Valend is not responsible for and that could not have been prevented even with the application of reasonable care and security measures. These may include in particular natural disasters, war, terrorism, pandemics, labor disputes not attributable to Valend, official orders, large-scale failures of telecommunications or energy supply networks, as well as cyber attacks that cannot be avoided despite reasonable security measures. Statutory rights of users and the liability of Valend for breaches of duty it is responsible for remain unaffected.
25. Support
Support services are provided within the framework of the respectively offered Services. A claim to specific response or processing times exists only if this has been expressly agreed. Inquiries may in particular be submitted via the contact options provided on our website.
26. Data Protection
Information on the processing of personal data in connection with the use of our Services can be found in the respectively current privacy policy of Valend. The privacy policy serves to fulfill the statutory information obligations and does not constitute blanket consent to the processing of personal data. Insofar as consent is required for specific processing operations, it is obtained separately.
27. Changes to These Terms of Service
Valend may change these Terms of Service with effect for the future if there is a substantive reason for this. A substantive reason may exist in particular due to: • a change in statutory or regulatory requirements, • new or changed case law, • technical or organizational changes, • new functions or services, • security requirements, • or the elimination of regulatory gaps. Changes may not shift the contractual balance between Valend and the users to the disproportionate disadvantage of the users. Registered users will be informed of material changes in good time in text form. Insofar as a change affects essential contractual obligations, paid services, liability regulations, or rights of the users, the express consent of the user is obtained before it takes effect. A payment obligation or price increase cannot be established solely by silence, failure to object, or continued use of the service. For purely editorial changes, adaptations to mandatory law, or changes without adverse effects, renewed express consent may be dispensable. Statutory rights of the users remain unaffected.
28. Transfer of Rights and Obligations
The user may only transfer rights or obligations from the usage agreement to third parties with Valend's prior consent in text form. Mandatory statutory rights of the user remain unaffected. Valend may transfer rights and obligations from the usage agreement in connection with a corporate restructuring, merger, company sale, or transfer of the business to a legal successor. Registered users will be informed in good time in text form about any resulting change of their contractual partner. Insofar as this is not merely a statutory universal succession, the user may terminate the contract extraordinarily at the time of the transfer. Mandatory statutory rights of the users remain unaffected.
29. Severability Clause
Should a provision of these Terms of Service be wholly or partially invalid, impracticable, or unenforceable, the validity of the remaining provisions remains unaffected. The statutory regulation shall take the place of the invalid or impracticable provision.
30. Applicable Law
The law of the Federal Republic of Germany applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), insofar as legally permissible. If you are a consumer and have your habitual residence in another member state of the European Union, the mandatory consumer protection provisions of that state remain unaffected.
31. Jurisdiction
If the user is a businessperson, a legal entity under public law, or a special fund under public law, or has relocated their general place of jurisdiction outside Germany after conclusion of the contract, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms of Service is Frankfurt am Main, insofar as legally permissible. Mandatory statutory places of jurisdiction remain unaffected.
